ThriveflixU – Terms of Access & Use
1. Binding Agreement
These Terms of Access & Use (“Terms”) constitute a legally binding agreement between you (“User”) and MV Thrive (“Company”).
By:
- Accessing the ThriveflixU,
- Creating an account,
- Purchasing digital products,
- Or using any feature of the Platform,
you acknowledge that you have read, understood, and agree to be legally bound by these Terms.
If you do not agree, you must immediately cease use of the Platform.
2. Nature of the Platform
ThriveflixU is a private, restricted-access digital content delivery platform.
It functions exclusively as a content access and delivery environment.
Any product displays, internal listings, or informational pages within the Platform do not constitute:
- A public marketplace,
- An offer to sell within the Platform itself,
- Or an independent transaction system.
All purchases are executed through authorized third-party payment processors.
Nothing within the Platform constitutes a legally binding offer until payment is successfully processed through the authorized checkout system.
The Platform is not the merchant of record unless explicitly stated in the specific checkout process. The existence of internal product listings or navigation pages labeled as “marketplace” or similar does not alter the legal structure of transactions.
3. Eligibility & Capacity
You represent and warrant that:
- You are at least 18 years old; or
- You possess full legal contractual capacity under applicable law.
The Company reserves the right to terminate access if these representations are false.
4. Account Security & Responsibility
You are solely responsible for:
- Maintaining account confidentiality,
- All activities under your account,
- Any unauthorized use resulting from credential sharing.
Account sharing, pooling, or access transfer is strictly prohibited.
The Company may monitor login patterns and suspend accounts exhibiting abnormal access behavior.
5. License Grant (Revocable & Conditional)
Upon valid payment, the Company grants a:
- Limited,
- Personal,
- Non-transferable,
- Non-assignable,
- Non-exclusive,
- Revocable license
to access purchased digital content solely for personal use.
This license is conditional upon:
- Ongoing compliance with these Terms,
- Valid payment status,
- Absence of abuse or dispute.
No ownership rights are transferred.
6. Strict Prohibited Conduct
Users may not:
- Reproduce, duplicate, distribute, sublicense, or commercially exploit content;
- Share login credentials;
- Use automation tools to scrape content;
- Upload content to file-sharing platforms;
- Circumvent payment systems;
- Reverse engineer proprietary frameworks;
- Create derivative works based on internal methodologies;
- Attempt to interfere with Platform security.
Any breach constitutes material breach and immediate grounds for termination.
7. Anti-Circumvention
Users may not attempt to:
- Bypass subscription systems,
- Access content through unauthorized technical means,
- Create secondary accounts after termination,
- Re-access the Platform following chargeback disputes.
Circumvention attempts may result in permanent blacklisting.
8. One-Time Purchase Access (“Lifetime Access” Defined)
“Lifetime access” means:
- Access remains available only while:
(a) the ThriveflixU platform remains operational; and
(b) the specific product remains commercially active.
The Company reserves the right to:
- Modify,
- Replace,
- Archive,
- Or discontinue any product.
Product discontinuation does not create refund entitlement.
9. Subscription-Based Access
Subscription access remains active only while the subscription status is marked as active within the billing system.
Cancellation results in immediate termination of access to subscription content, regardless of any remaining time in the billing cycle.
The User acknowledges that access is technically linked to billing status and accepts this structure upon subscription.
10. Digital Delivery & Explicit Waiver of Withdrawal
By completing a purchase, the User:
- Expressly requests immediate digital delivery;
- Acknowledges that contract performance begins immediately;
- Explicitly waives any statutory right of withdrawal under EU Directive 2011/83/EU and applicable national implementing laws once digital content delivery has begun.
This waiver is legally binding and forms part of contract execution.
11. Chargebacks & Fraud Protection
Any chargeback, dispute, or reversal constitutes material breach.
Upon such event, the Company may:
- Immediately revoke access;
- Permanently terminate the account;
- Block future transactions;
- Pursue recovery of administrative and processing costs;
- Submit fraud documentation to payment networks.
Reinstatement is solely at the Company’s discretion.
12. Intellectual Property Protection
All Platform content, including:
- Business systems,
- Educational frameworks,
- Templates,
- Written material,
- Strategic methodologies,
is protected under international intellectual property law.
Unauthorized use may result in:
- Civil claims,
- Injunctive relief,
- Financial damages,
- Criminal reporting where applicable.
13. No Reliance / No Guarantees
User acknowledges that:
- No income claims are guaranteed;
- No business success is assured;
- Results depend on multiple variables beyond the Company’s control, including individual implementation, effort, market conditions, economic factors, and other external circumstances.
User confirms that no external promises were relied upon outside written terms.
14. Limitation of Liability
To the fullest extent permitted by applicable law, the Company shall not be liable for:
• Indirect damages,
• Consequential damages,
• Loss of profits,
• Loss of opportunity,
• Data loss,
• Business interruption,
• Reputational damage,
whether arising in contract, tort, negligence, strict liability or otherwise.
To the maximum extent permitted by applicable law, the Company’s total aggregate liability arising out of or relating to any claim shall not exceed the lesser of:
(a) the amount paid by the User for the specific product giving rise to the dispute; or
(b) one hundred euros (€100).
Nothing in these Terms excludes or limits liability that cannot be legally excluded under applicable law, including liability for fraud, willful misconduct, or gross negligence where applicable.
15. Indemnification
User agrees to indemnify and hold harmless the Company from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from:
- Violation of these Terms;
- Unauthorized distribution;
- Misuse of digital content.
16. Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of Portugal.
If the User qualifies as a consumer under mandatory consumer protection laws of their country of residence, such mandatory provisions shall apply to the extent required by law.
Subject to applicable consumer protection regulations, any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts of Portugal.
For Users outside the European Union, the User agrees to waive any right to participate in class actions, collective proceedings, or representative lawsuits.
17. Force Majeure
The Company shall not be liable for failure to perform due to events beyond reasonable control, including:
- Government restrictions,
- Internet outages,
- Processor disruptions,
- Natural disasters.
18. Assignment Restriction
User may not assign or transfer rights under these Terms.
The Company may assign its rights without restriction.
19. Survival
The following clauses survive termination:
- Intellectual Property
- Limitation of Liability
- Indemnification
- Governing Law
20. Severability
If any provision is unenforceable, the remainder remains valid.
21. Entire Agreement
These Terms constitute the entire agreement regarding ThriveflixU use.
No oral statements modify these Terms.
Continued use of the Platform after any update constitutes acceptance of the revised Terms.
